Terms & Conditions

These Terms & Conditions ("Agreement") govern all services provided by Apex Provisions ("Company," "we," "us," or "our"). By requesting, approving, or purchasing services, Client agrees to the terms below.

1. Scope of Services

Apex Provisions provides sourcing, procurement coordination, and delivery of in-flight provisions and related logistics services. Product availability is subject to vendor supply, airport access restrictions, operational constraints, and timing requirements.

We reserve the right to substitute comparable items when necessary due to availability, quality standards, or time limitations.

2. Order Timing & Expedited Service Fees

Orders are categorized based on notice provided prior to scheduled aircraft departure:

Standard Orders
Orders placed more than 12 hours prior to scheduled departure. Standard service fees apply.

Rushed Orders
Orders placed between 3 and 12 hours prior to scheduled departure. Expedited service fees apply.

Urgent Orders
Orders placed less than 3 hours prior to scheduled departure. Priority handling fees apply.

Expedited service fees increase proportionally as available fulfillment time decreases. All applicable fees will be disclosed in the final quote prior to order confirmation.

Short notice may limit product availability and may require substitutions.

3. Minimum Service Thresholds

Due to the logistical coordination, sourcing requirements, airport access considerations, and operational mobilization involved in in-flight provisioning, minimum service thresholds apply.

Minimum service levels are determined based on order timing, airport location, complexity, vendor availability, and operational capacity.

Applicable minimums, if any, will be disclosed within the final quote prior to order confirmation. Apex Provisions reserves the right, at its sole discretion, to accept, decline, or adjust orders that fall below operational thresholds.

4. After-Hours & Extended Service Coordination

Orders requiring sourcing, coordination, or delivery outside of standard operating hours may be subject to additional service fees.

Standard operating hours are determined by Apex Provisions and may vary based on vendor availability, airport access, and operational considerations.

Applicable after-hours or extended service fees will be disclosed in the final quote prior to order confirmation.

5. Order Confirmation, Procurement & Payment

An order becomes binding once confirmed in writing (including email confirmation or approved quote).

Payment is due prior to fulfillment unless approved credit terms are established.

Upon order confirmation, Apex Provisions may immediately begin procurement activities.

Procurement commencement includes, but is not limited to, vendor placement, purchase commitment, preparation, sourcing allocation, custom item ordering, vendor engagement, or allocation of inventory specifically for the Client's order.

Due to the perishable, customized, and time-sensitive nature of in-flight provisions, once procurement commencement has occurred, the order is non-cancelable and non-refundable.

Accepted payment methods include major credit cards, ACH, or other approved methods.

6. Cancellations

Cancellation requests submitted prior to procurement commencement may be subject to administrative or vendor-related fees.

If procurement commencement has occurred, the Client remains fully responsible for the total quoted amount.

7. Credit Terms (If Applicable)

Net 15, Net 30, or other credit terms may be extended only upon written approval and completion of a credit application.

Past due balances accrue interest at 1.5% per month (or the maximum permitted by law).

Client agrees to be responsible for any collection costs, including reasonable attorney's fees, associated with unpaid balances.

8. Chargebacks & Payment Disputes

Confirmed, procured, and fulfilled orders are not subject to reversal or chargeback.

Any dispute regarding charges must be submitted in writing within 48 hours of delivery.

Initiating a chargeback without prior written dispute communication constitutes a material breach of this Agreement, and Client agrees to reimburse Apex Provisions for any related fees, administrative costs, or penalties incurred.

9. Delivery & Risk of Loss

Risk of loss transfers to Client upon delivery to the designated aircraft, FBO, crew member, or authorized representative.

Apex Provisions is not responsible for product condition after delivery has been accepted.

10. Pricing & Market Conditions

Pricing is subject to vendor costs, seasonal fluctuations, specialty sourcing requirements, airport access fees, and market conditions.

Quotes are valid for the timeframe specified and may be adjusted if order scope changes.

11. Limitation of Liability

To the fullest extent permitted by law, Apex Provisions' total liability for any claim arising from services provided shall not exceed the total amount paid by Client for the specific order giving rise to the claim.

Apex Provisions shall not be liable for indirect, incidental, consequential, or special damages.

12. Force Majeure

Apex Provisions shall not be liable for delays or failure to perform resulting from circumstances beyond reasonable control, including but not limited to weather events, airport closures, government restrictions, vendor disruptions, supply shortages, labor issues, or acts of God.

13. Dispute Resolution

The parties agree to attempt good-faith resolution of any dispute prior to initiating formal legal proceedings.

If resolution cannot be reached, disputes shall be governed by the laws of the State of Florida and resolved in the appropriate courts located within Florida.

14. Indemnification

Client agrees to indemnify and hold harmless Apex Provisions from any claims, damages, or liabilities arising from Client's instructions, misuse of products, or failure to follow handling or storage recommendations.

15. Modifications

Apex Provisions reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on the Company's website.
